Terms & Conditions for Commissions

♡✧( ु•⌄• ) General Process✿ Submit a request on VGen for one of the commission options. I may or may not accept every single request depending on factors such as availability, interest, insufficient details, and complexity.✿ The client agrees to all terms and conditions when commissioning the composer.✿ All details, usage, deadlines and payments must be discussed between the client and composer before the commission is accepted into the queue.✿ Prompt communication is expected and will be carried out on the Client’s preferred platform (VGen, Email or Twitter/X).✿ The composer will send 1-2 demos to the client. After client feedback, this first round of revisions will include any major/minor changes requested by the client. Accepted major changes include structure, key, instrumentation, rewriting melody/harmony, which are foundational to the composition.✿ After the first round of revisions, a reasonable amount of major/minor changes are accepted, but may incur additional fees due to the time it takes to implement new major changes.✿ When the commission has reached the final revisions, no major changes are accepted.✿The final digital goods will be uploaded into a file sharing service and delivered on VGen after all payment(s) are received. The link will expire after 3 days, so it is the responsibility of the client to download the files as soon as possible.✿ There is a 1-2 month turnaround from the day that the composer begins work on the commission. If certain requests have a specific deadline, the composer will prioritize those commissions to complete them on time.✧( ु•⌄• ) Please note:✿ The composer reserves the right to reject any request if they deem it beyond their ability, if negotiations are inconclusive, or any other reason.✿ Prices are subjected to change at any time due to demand, time or any given reason that the composer deems reasonable. Terms and Conditions are subject to change.✿ The composer will deny any request to "copy" a piece of music exactly for original music commissions.✿ The client must be 18+ or have guardian permission to request a commission.♡✧( ु•⌄• ) Regarding Usage✿ Please refer to the Usage Guide outlining the allowed and non-allowed usage for commissions with Simple Commercial License / Commercial Usage License.✿ With the base cost, the client is granted a Simple Commercial License to use the commission in specific, monetized usage related to your content.✿ With the default “Simple Commercial License”, the Client may:
i) Use Work in any unmonetized and monetized streams
ii) Use Work in any unmonetized long form and short form content for sites such as Youtube and Twitter, so long as the audio is not the main focus (stream VODs, edited stream clips, debut trailers, videos showcasing a Live2D model)
iii) Use Work as a personal ringtone and for personal listening offline✿ If the client would like extended usage in pre-recorded, monetized content, this would require a Commercial Usage License, which is typically +50% of the base cost. This fee will vary depending on the project, client, and/or usage. The Client should expect the final price to be at least an additional 50% of the base cost if commercial use is the intent, but further discussion will be necessary for a more specific price.✿ With a “Commercial Usage License”, the Client may additionally:
i) Distribute Work to music services (Spotify, iTunes, YouTube Music, etc.)
ii) Use Work in other media (advertisement for merchandise, television, vlogs, video games, short films, movies, voice packs, etc)
iii) Upload monetized videos where showcasing Work is the main focus
iv) Make the Work available as a free download or paid purchase on the Client or the Composer’s platform.✿ The client must not use the work to infringe on the rights of any person, and the composer is not liable for these actions.✿ The client or any person may not redistribute or resell Work in any way, including in any blockchain/cryptocurrency-related technology such as NFTs. Please note that the exclusive holder of the license is the person/entity that it was commissioned for, and anyone else who uses it may be subject to copyright infringement and DMCA. There is an absolutely zero-tolerance policy for AI and NFT usage and clients who break these terms will be barred from future commissions, giveaways, raffles, deals etc.✿ The commission cannot be used, sold, uploaded or redistributed in any way, commercially or non commercially, without express permission from the Composer. However, even with permission from the Client, any use by a third-party is prohibited before contacting the Composer first. The only exception to this rule is stream clip channel uploads where the Work is heard in the background of the stream clip(s).✿ The commission cannot be remixed, sampled or altered after the commission is complete. This applies to any demos, drafts, samples, sketches, and related files created during the commission process.✿ Distributing the commission through music services is not allowed without previous discussion between the composer and client.♡✧( ु•⌄• ) Regarding Credit and Authorship✿ When using the music, credit to the composer must be given in a reasonably visible location (name and link to social media or website) For example: “BGM Title” by mina.fm @playingminafm✿The Composer retains creative authorship and exclusive rights, which include but are not limited to advertising, synchronization of the Work, and work in progress on websites, social media, portfolios, public broadcast channels (i.e. YouTube, Soundcloud, Twitter) for promotional purposes unless agreed upon otherwise.✿ The composer may publish the finished work anywhere once it is completed. Any project secrecy must be discussed before completion, such as keeping the Client or Title anonymous. A Non-Disclosure Agreement (NDA) to keep the Client, Title and Work anonymous and publicly unpublished for over 90 days from the contract entry date will incur a NDA fee. In some cases, the completed Work may be posted on a private portfolio as an unlisted video.♡✧( ु•⌄• ) Regarding Payments✿ At least 50% of the total cost must be paid within 24-48 hours of the commission being accepted, and the remaining 50% must be paid before the composer sends the final digital files.✿ The base cost is subject to additional fees depending on complexity, amount of unreasonable changes and rush fees.✿ Payment plans are accepted, but must be discussed beforehand. Minimum payments must be at least $100 USD.✿ Rush fees will be added to the base cost if the deadline is less than 20 days.✿ Waitlist deposits will only be refunded if the commission has not been started at all. Otherwise, negotiate payment and refunds if the work is incomplete.✿ After the guaranteed delivery date, the Client is allowed to request a full refund. If the work has been started, negotiate payment and refunds depending on the amount of work and time spent on the commission.✿ If the commission is cancelled, the client is strictly not allowed to use/share the drafts, samples or demos that were created. The Composer may use the cancelled commission in any way in future releases.✿ If the client issues a fraudulent chargeback, all rights to the work will be revoked and they will be barred from future commissions, giveaways, raffles, deals etc.♡✧( ु•⌄• ) Regarding Communication✿ The Composer will keep the Client updated and expects active communication before and during the commission process.✿ All commission updates will be on Trello, but more info can always be requested by the client during the process.✿ If there is lack of response from the Client for over 3 weeks without previous notice as a short email or simple direct message about a delay, this will result in the commission being cancelled, with no refunds. The Composer will bump messages and emails approximately once a week in case they were forgotten.♡✧( ु•⌄• ) Regarding Waitlist✿ If the waitlist is open, please feel free to request as long as you have a flexible deadline. Requests will be reviewed/accepted depending on the number of available slots per month.✿ Waitlisted clients whose requests have been accepted shall pay a 50% deposit and informed of which month their request will be started in.♡✧( ु•⌄• ) Regarding Skeb-style Buns (not available)✿ All terms and conditions still apply for the Skeb-style commissions.✿ Please understand that Skeb-style Buns are meant to be a budget-friendly, low-contact commission style with no revisions.✿ Please respect the format and time constraints of Skeb-style commissions. It may take longer to receive the final work.✿ Skeb-style Buns include a Simple Commercial License in the base cost. Commercial Usage License is not available for Skeb-style Buns.Thank you for reading my terms & conditions before commissioning me!
